Terms of Use

These Terms of Use (“Terms”) govern your access to and use of Zaru, the AI agent orchestration platform operated by My Zaru, Inc. (“My Zaru”, “we”, “our”, or “us”). By accessing or using Zaru, you agree to be bound by these Terms. If you do not agree, do not use Zaru.

1. Acceptance of Terms

By creating an account or using any part of the Zaru platform, you represent that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you are using Zaru on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Zaru is an AI agent orchestration platform currently in public beta. The service allows users to interact with AI agents, create and manage automated workflows, and connect third-party AI providers.

As a beta product, features may change or be withdrawn without notice. The platform is provided for evaluation and early-access purposes.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activity that occurs under your account.
  • Notifying us immediately at [email protected] if you suspect unauthorized access to your account.
  • Ensuring that your use of Zaru complies with all applicable laws and regulations.

4. Acceptable Use

You agree not to use Zaru to:

  • Violate any applicable law or regulation.
  • Generate, transmit, or store content that is unlawful, harmful, abusive, hateful, or discriminatory.
  • Conduct automated attacks, scraping, or denial-of-service activities against any system.
  • Circumvent security controls, rate limits, or authentication mechanisms.
  • Use the platform to create malware, phishing materials, or other malicious artifacts.
  • Infringe the intellectual property rights of any third party.
  • Attempt to reverse-engineer or decompile proprietary components of the platform.
  • Resell or sublicense access to the platform without our prior written consent.

We reserve the right to suspend or terminate accounts that violate these restrictions, with or without notice.

5. AI-Generated Content

Zaru facilitates interaction with AI language models operated by third-party providers. AI-generated outputs are probabilistic and may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, validating, and determining the appropriateness of any AI-generated content before acting on it or distributing it. My Zaru does not warrant the accuracy, completeness, or fitness for any purpose of AI-generated content.

6. Third-Party AI Providers

Zaru allows you to configure and use third-party AI providers (such as OpenAI, Anthropic, and others). When you use a third-party provider through Zaru, your data is transmitted to that provider subject to their own terms of service and privacy policies. My Zaru is not responsible for the policies, practices, or outputs of third-party AI providers. You are responsible for ensuring your use of third-party providers complies with their respective terms.

7. Intellectual Property

All intellectual property in the Zaru platform, including its user interface, logos, and documentation, is owned by My Zaru, Inc. or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership rights to the platform or its underlying technology.

You retain ownership of content you submit to Zaru. By submitting content, you grant My Zaru a limited, non-exclusive license to process that content solely to provide the service to you.

8. Service Availability

Zaru is provided in beta state with no guaranteed uptime, availability, or service level agreement (“SLA”). We may modify, suspend, or discontinue the service at any time with or without notice. We will make reasonable efforts to notify users of planned downtime where practical.

9. Termination

We may terminate or suspend your access to Zaru at any time, with or without cause or notice. Upon termination, your right to use the service ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) shall survive.

10. Disclaimer of Warranties

ZARU IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MY ZARU, INC. DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MY ZARU, INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF ZARU, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO MY ZARU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in New Castle County, Delaware.

13. Changes to These Terms

We may update these Terms from time to time. We will notify registered users of material changes by posting a notice in the application or via email. Your continued use of Zaru after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using Zaru.
